Title &v Delivery Policy

All delivery of products shall be made F.O.B. CSG’s Munster, Indiana plant unless otherwise agreed in writing and signed by both parties. Method of delivery and carrier shall be selected by CSG unless Purchaser has specified an alternative method of delivery and carrier satisfactory to CSG.

Requested delivery dates are subject to acceptance by CSG and shall only constitute approximate dates. At CSG’s sole option, CSG may deliver the purchased products in advance of the approximate delivery date. CSG shall not be liable to Purchaser or any third party for any loss or expense, whether by way of contract or tort, incurred by Purchaser or third party for CSG’s failure to meet the specified estimated delivery date because of an occurrence of a force majeure event or other delays.

Title and risk of loss shall pass to Purchaser upon CSG’s delivery to carrier at CSG’s Munster, Indiana plant, and any loss or damage thereafter shall not relieve Purchaser from any obligation hereunder. Purchaser shall be liable for all costs for insurance and transportation, taxes and any other expenses incurred or licenses or clearance required.

CSG reserves and Purchaser hereby grants to CSG a purchase money security interest in the products, and all proceeds from the sale thereof, until full payment is received for all amounts due and payable by Purchaser. Purchaser hereby agrees to sign, upon request, any documents necessary to perfect CSG’s security interest in said products.

In the event Purchaser causes delay in delivery of the Products, CSG may place the Products in storage. Purchaser shall be responsible for any and all expenses incurred by CSG for delay in shipment/delivery.
